Mike’s practice is focused on corporate tax planning and reorganization, and he works closely with clients and other lawyers to provide advice and solutions to minimize tax in every transaction, including international tax planning. Mike also practices in the areas of tax litigation, compliance, and dispute resolution.

  • Assists organizations with employment benefit issues and salary deferral arrangements.
  • Preparation of share ownership plans, including phantom RSU/PSU/DSU plans, and Canadianizing share plans for US entities wishing to provide plans to Canadian employees. 
  • Assists with corporate reorganizations, including share and asset rollovers, butterfly transactions among related parties, stock dividends, share redemptions, debt assignments/assumptions and debt-to-equity conversions.
  • Reviewing eligibility of shares for capital gains deduction.
  • Assists clients and accountants with subsection 55(2) and intercorporate dividend issues.
  • Prepares section 56.4 elections for restrictive covenants in commercial transactions.
  • Implements long form and short form amalgamations and winding ups.
  • Provides advice with respect to post-mortem planning, including pipeline planning and the impact of corporate buy-outs due to unanimous shareholder agreements.
  • Provides advice on tax matters in family trusts, including attribution issues.
  • Increases and reductions to paid-up capital, eligible and capital dividends, including excess eligible dividend and excess capital dividend elections.
  • Provides international advice on Canada-US outbound and inbound investment.
  • Provides advice with respect to changes to the small business deduction and issues with existing planning to multiply the small business deduction.
  • Assists organizations with qualifying as a cooperative corporation for income tax purposes.
  • Represents clients on RRSP/RRIF/TFSA issues, including opinions as to whether shares of a private corporation are eligible for contribution to a registered plan, as well as issues with over-contributions to registered plans and prohibited investments.
  • Represents clients with respect to Canada Revenue Agency collection issues.
  • Provides general anti-avoidance rule opinions.
  • Assists clients with the audit process, income tax objections and appeals.
  • Assists clients with GST issues including on the sale of real property and applicability to amounts paid as settlements.
  • Provided advice and direction in respect of the sale of 75% of the equity in a car dealership, together with the sale of the land and building on which the dealership operated. Prior to completing the sale, a significant reorganization of the company was done to realize tax savings upon the conclusion of the transactions.
