Kevin practices general corporate, commercial, securities and real estate law, with an emphasis on the purchase and sale of businesses, corporate restructuring and reorganizations, shareholder agreements, joint ventures, commercial real estate, multi-family residential real estate, franchising, debt and equity financings, and the commercial and contractual aspects of large-scale construction projects.

Kevin is recognized within the firm for efficiently providing practical and timely advice to his clients, who in many cases are some of Alberta’s most successful private entrepreneurs. Kevin has acted as counsel in many merger and acquisition transactions, contractual negotiations, private placements and commercial financings and, in the process, has assisted all types of parties including public companies, local developers, private business owners, landlords, tenants, major banks, private lenders and governmental bodies.

Kevin is a former Notre Dame Hound and Alberta Golden Bear hockey player, and brings to the practice of law may of the attributes he acquired with these history filled organizations, such as hard work, respect, dedication and loyalty.

  • Securities counsel to a very successful privately held Edmonton based company, who recently converted their employee ownership model from a typical share ownership structure to a complex mutual fund trust structure.
  • Lender’s counsel on a $60 million mortgage loan to a hotel chain operating principally in Western Canada.
  • Developer’s counsel on numerous residential subdivisions from the early zoning and permitting stages, through to the subdivision, construction and conveyancing stages.
  • Counsel to numerous developers involved in constructing and selling multi-unit residential and commercial condominium projects – providing advice, direction and document drafting in all areas of these developments including land acquisition matters, condominiumization, purchaser disclosure packages and the conveyancing of completed units to third party purchasers.

  • Developer’s counsel on numerous residential and commercial real estate projects where the developers raised significant project capital utilizing the exemptions from the prospectus requirements under National Instrument 45-106.
  • Corporate counsel to a group of franchise restaurant owners/operators with numerous locations in Alberta and British Columbia.
  • Counsel to numerous franchisors in Alberta assisting them with the preparation and negotiation of the required franchisee disclosure documentation, and franchise agreements, for use in Alberta
  • Real estate counsel to a major international aeronautics company in connection with their sale of numerous commercial properties across Western Canada.
  • Counsel to an Alberta utility company in the preparation and negotiation of a master services agreement for the complete reconstruction by a private contractor of the utility company’s information technology (IT) operating systems.
  • Counsel to an international oil company in the preparation of complex request for proposal (RFP) documentation, including comprehensive front-end engineering and design contracts (FEED contracts), and engineering, procurement, construction and management contracts (EPCM contracts).
  • Counsel to numerous homebuilders, sellers and buyers of residential real estate in Alberta.
  • Counsel to numerous private companies providing advice and direction at all stages from incorporation, to putting in place shareholders agreements, and securitization of shareholder loans.
  • Advising individuals on the pros and cons and establishment of the various other organizational structures from sole proprietorships to partnerships to limited partnerships to non-profit entities.
